Other Entities registered with the CNMV (A)
There are other entities that may or may not be collective investment institutions, with the legal form of a public limited company that, in addition to being registered in the Commercial Registry, requires prior authorization (see important note below) and registration with the National Securities Market Commission, such as:
- Real estate investment company ( SII ) (Law 35/2003)
- Free investment companies (SIL) ((Law 35/2003)
- Investment companies of hedge funds (SHF) (Law 35/2003)
- Venture capital companies (VC) (Law 22/2014)
- SME Venture Capital Companies (SCR-Pyme) (Law 22/2014)
- Closed-end collective investment companies (SICC) (Law 22/2014)
- Management companies of closed-end entities (SGEIC) (Law 22/2014)
- Securities Companies/Agencies (SAV) (RD217/2008)
- Portfolio management companies (PMC) ( RD 217/2008)
- Financial advisory companies (EAFI) (RD217/2008)
Important note :
For SCR , SCR-Pyme and SICC there is no prior authorization from the CNMV if the entity has designated a third entity to manage its assets. However, if it is self-managed, it is subject to authorization by the CNMV.
The FCR -Pyme and the FICC are also not subject to authorization by the CNMV.
